These Terms of Use (these "Terms") govern your use of blackbirdventures.com (the "Site"), operated by Blackbird Ventures, LLC, a Delaware limited liability company ("Blackbird Ventures," "we," "us"). By using the Site you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.
About Blackbird Ventures
Blackbird Ventures is a privately held company that invests only its own capital. It does not manage money for others, does not accept outside capital, and is not a registered investment adviser or broker-dealer. Blackbird Ventures, LLC and its affiliates are not connected with any other business that uses the Blackbird name.
No offer or solicitation
Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security, interest in any fund or other investment product. No such offer is made through the Site.
No advice; no relationship
The Site provides general information only. Nothing on it is investment, financial, legal, tax or accounting advice, or a recommendation of any company or security. Using the Site or contacting us does not create an advisory, fiduciary, client or other relationship with Blackbird Ventures.
Accuracy of information
We aim to keep the Site accurate, but information may be incomplete or out of date and may change without notice. Any statements about plans or expectations are not guarantees, and we have no obligation to update them.
Submissions
If you send us business plans, pitch materials or other information, you agree that we have no obligation to keep it confidential, to review it or to respond, unless we have agreed otherwise in a signed writing. Do not send us anything you consider confidential unless we have first signed a confidentiality agreement with you. By sending us materials, you confirm that you have the right to share them, and you agree that we may keep and use them to evaluate the opportunity and for our records. We may already be considering, or may in the future consider, ideas or companies similar to yours, and receiving your materials does not limit our activities.
Intellectual property
The Site and its content, including the Blackbird Ventures name, logo and design, belong to Blackbird Ventures or its licensors. You may view the Site, and print or save pages from it, for your own informational purposes. You may not otherwise copy, modify, distribute or create derivative works from it without our written permission.
Acceptable use
You agree not to interfere with the Site's operation or security, attempt unauthorized access, use automated means to scrape or copy it, or use the Site for any unlawful purpose.
Third-party links
The Site may link to websites we do not control. We are not responsible for their content or practices, and a link does not imply endorsement.
Disclaimer of warranties
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BLACKBIRD VENTURES AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
Indemnification
You agree to indemnify and hold harmless Blackbird Ventures and its members, managers, officers, employees and affiliates from any claims, losses and expenses, including reasonable attorneys' fees, arising from your misuse of the Site or breach of these Terms.
Governing law and venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Site will be brought exclusively in the state courts located in Miami-Dade County, Florida, or the United States District Court for the Southern District of Florida, and you consent to the personal jurisdiction and venue of those courts.
Changes
We may update these Terms at any time by posting a revised version on the Site. Continued use of the Site after a change means you accept the updated Terms.
General
These Terms and our Privacy Policy are the entire agreement between you and Blackbird Ventures about the Site. If any part of these Terms is found unenforceable, the rest remains in effect. If we do not enforce a provision, we are not giving up the right to enforce it later. You may not assign your rights under these Terms; we may assign ours to a successor or affiliate.
